Platform Terms of Use & Subscription Licence
1. Acceptance of Terms
By creating an account, purchasing a subscription, participating in the Platform or downloading research, you agree to be bound by these Terms.
2. Definitions
Participant Organization means the legal entity identified in the applicable Subscription Agreement, Order Form or Participation Agreement that has been granted a licence to access the Platform and Research.
Authorized User means an individual authorized by a Participant Organization who is:
• an employee;
• an officer; or
• a member of the Board of Directors or a Board committee.
Authorized Users may access the Platform solely for the internal business purposes of the Participant Organization.
Authorized Users do not include parent corporations, subsidiaries, affiliates, related entities, sister companies, portfolio companies, investee companies, joint ventures, clients, customers, suppliers, vendors, legal counsel, auditors, accountants, consultants, advisors or any other third party unless expressly authorized in writing by Millani.
3. Ownership
All Platform content and research remain the exclusive property of Millani. Subscriptions are licences, not sales.
4. Licence Grant
Millani grants:
• Individual Subscribers a personal, non-transferable licence for their own professional use.
• Participant Organizations a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence permitting access only by Authorized Users.
The licence is granted only to the named Participant Organization and does not extend to affiliates, subsidiaries, sister companies or related entities unless expressly agreed in writing.
5. Individual Subscriptions
Individual subscriptions are licensed to one named individual only. Login credentials and downloaded reports may not be shared.
6. Participant Organizations
The Participant Organization is responsible for ensuring that only Authorized Users access the Platform and is responsible for compliance with these Terms by its Authorized Users.
7. Prohibited Uses
No copying, redistribution, resale, derivative works, commercial exploitation, systematic downloading, credential sharing or circumvention of technical protections.
8. Artificial Intelligence
No AI training, fine-tuning, benchmarking, scraping, text/data mining, vector databases or RAG systems without Millani's written consent.
9. Monitoring
Millani may monitor usage for licence compliance and may suspend access where unauthorized sharing or excessive downloading is detected.
10. Disclaimer
Research is informational only and is not legal, investment, tax or other professional advice.
11. Limitation of Liability
To the fullest extent permitted by law, Millani's aggregate liability shall not exceed subscription fees paid during the preceding twelve months.
12. Governing Law
These Terms are governed by the laws of Québec and the applicable federal laws of Canada. The parties attorn to the exclusive jurisdiction of the courts of Québec.
